Communications Compliance Addendum

This addendum supplements the Assisters.ai Terms and Conditions for Nonstop Nexus. By selecting the Terms and Communications Compliance Addendum checkbox and Approve, you agree to the obligations below. It does not supply any customer's consent to receive communications or waive any consumer's rights.

1. Your authority and responsibility

You are responsible for the contacts, content, recipients, timing and instructions you supply or authorize, including AI actions and automated workflows. Use the Platform only within your permissions and maintain the licenses required for your activities. If acting for an agency, you represent that you are authorized to use the Platform for it; you bind the agency to this agreement only if authorized to do so.

2. Consent, notices and evidence

Before outreach, determine and comply with the Telephone Consumer Protection Act (TCPA), applicable FCC rules, state telemarketing laws, email rules, recording/privacy laws and the Telemarketing Sales Rule where applicable. Obtain legally sufficient consent, including prior express written consent for telemarketing when required for the technology and purpose. Verify actual evidence, its scope, authorized caller or seller, contact channel and any revocation. A purchased lead, consent certificate, existing relationship or Platform consent field is not by itself proof that every call or text is lawful. Preserve retrievable consent, outreach and opt-out records for the legally required period. Supply supporting records upon reasonable request. Obtain required recording, transcription and AI processing permissions and give required notices.

3. Suppression and lawful outreach

Comply with national, state and company-specific do-not-call requirements, recipient-local calling hours, frequency limits and required identification, disclosures and opt-out mechanisms. Honor STOP and other reasonable revocations promptly and within applicable legal deadlines; record and apply suppression across the channels and campaigns required by law. Do not re-import opted-out contacts, override suppressions or treat START as blanket permission. Do not spoof identity or rotate numbers to circumvent restrictions or spam labels. Do not initiate outreach when consent or a required safeguard is missing.

4. Platform and AI limitations

You warrant that your submitted contacts and authorized outreach instructions are lawful. Platform controls, templates, lead partners, AI suggestions and warmed or registered numbers do not establish consent or guarantee compliance, deliverability or carrier eligibility. Review content and facts before approving an AI action. These Terms do not remove the Platform's own legal duties or bind consumers or regulators. User acceptance is not consent to consumer marketing, recording or optional sensitive-data processing.

5. Indemnification for misuse

To the extent permitted by law, you agree to defend, indemnify and hold harmless Assisters.ai and its officers, directors, employees and agents against third-party claims, liabilities, damages and reasonable defense costs arising from your unlawful outreach, missing or invalid consent, failure to honor opt-outs, unauthorized recording or material breach of this addendum, including TCPA and related claims attributable to your conduct. An agency is bound only through an authorized representative. This obligation does not cover liability to the extent caused by Assisters.ai's negligence, willful misconduct or violation of law, and does not shift fines or liabilities that cannot lawfully be indemnified.

Assisters.ai will promptly notify you of a claim, permit defense by reasonably acceptable counsel and provide reasonable cooperation at your expense. You may not settle in a manner that admits fault by, imposes obligations on, or fails to fully release an indemnified party without its written consent. Assisters.ai may participate through its own counsel at its own expense. For communications-related claims, this section controls any conflict with section 13 of the Terms. Obligations concerning prior conduct and legally required records survive termination to the extent necessary to give them effect.
